On 4 June 2019, A / S "Delfi", a wholly – owned subsidiary of AS Ekspress Grupp, has signed, through its subsidiaries SIA Delfi Tickets and SIA Delfi Tickets Service, a contract for the sale of the company. acquisition of 100% of the shares of the Latvian SIA Biļešu Paradīze.
SIA Biļešu Paradīze operates the electronic ticket platform (bilesuparadize.lv) and ticket booths to arrange ticket sales for various entertainment events on behalf of event organizers. The company has been distributing tickets online for more than 15 years and is one of the two largest ticketing service providers in Latvia. In 2018, SIA Biļešu Paradīze sold tickets for more than 7,000 events. SIA Biļešu Paradīze's clients include prominent cultural and entertainment institutions as well as independent event organizers in Latvia. The main founders of SIA Biļešu Paradīze, Jānis Daube and Ēriks Naļivaiko will continue to participate actively in the management of the company. The parties have agreed not to disclose the price or other terms of the transaction.
The purpose of this acquisition is:
- develop new areas with a focus on increasing the group's share of digital revenue;
- increase the return on the group's capital and achieve synergies with activities adjacent to existing media activities
- reinforce existing core activities and help the group to carry out the digital transformation;
- develop the group's diverse digital footprint.
The transaction was partially financed by the respective loans of AS Citadele Banka and Aktiva Finants OÜ (100% owned by the main shareholder Hans H. Luik).
The transaction is not to be treated as a material transfer for purposes of the "Issuer Requirements" section of the NASDAQ Tallinn Stock Market Rules. AS Ekspress Grupp confirms that neither Delfi nor the members of the board of directors and the supervisory board of ESEkspress Grupp are personally interested in the transaction.
A / S Delfi manages the most popular information portal in Latvia delfi.lv. It has more than 800,000 monthly users. Since 2007, A / S Delfi belongs to the media group AS Ekspress Grupp.
