The MTN group has announced the following changes to the board of directors over the next 12 months:

1. The MTN Group Chairman, Phuthuma Nhleko, who is expected to retire at the Annual General Meeting on May 23, 2019, will retire from the Board on December 15, 2019 after overseeing an orderly transition of the Board from place of the International Advisory Board.

2. Mcebisi Jonas has been appointed President-Elect and will badume the duties of President of the MTN Group effective December 15, 2019.

3. Mr. Khotso Mokhele will badume the duties of Lead Independent Director effective December 15, 2019.

4. In addition, Alan Harper, Jeff Van Rooyen and Koosum Kaylan will leave the Board on December 15, 2019 following an orderly transition and transfer to the new directors.

5. Peter Mageza and Dawn Marole will retire from the Board effective April 30, 2020.

"As a result of the above, we are pleased to welcome to the Board His Royal Highness Sanusi Lamido Sanusi and Vincent Rague effective July 1, 2019," said a statement from the Corporate Affairs Division of the MTN Group.

His Royal Highness Sanusi Lamido Sanusi is a Nigerian national, the Emir of Kano and a former governor of the Central Bank of Nigeria.

The ICC will be chaired by His Excellency the former President of the Republic of South Africa, Mr. Thabo Mbeki, and will consist of the following persons:
