Registrar General’s service to end validation of dormant companies in September

The Civil Status Service (RGD) would end its validation of dormant companies at the end of September 2021.

The exercise which began on July 1, 2021 according to the ministry consisted of validating dormant companies that adhere to the directive of the Registrar of Companies to file their annual declarations.

The department has previously warned all of these companies to file their returns or risk being removed from the company register.

In a statement signed by Registrar General Ms. Jemima M. Oware, the ministry noted that the validation period was an opportunity given to companies that could not file their annual returns by the June 30 deadline for whatever reason.

Defaulting companies, he said, are urged to take the necessary steps to be in good standing with the ministry if they are still interested in doing business with the name.

“A company status at this time would be classified as inactive and would not be accessible for any business transaction during the next 12 years, except by a court order addressed to the department for the reinstatement in good standing in the company register”, he warned.

RGD TO FINISH THE VALIDATION OF COMPANIES IN SEPTEMBER 2021

The General Registrar (RGD) wishes to inform the Business Community and the General Public that it will end its validation of dormant companies at the end of September 2021.

The exercise consisted of validating dormant companies that had adhered to the directive of the Registrar of Companies to file their annual returns with the Ministry or were at risk of being removed from the Companies Register. Companies that were unable to file their annual declarations by the June 30 deadline for whatever reason were invited to take advantage and comply during the validation period which began on July 1, 2021.

These dormant companies were public / private companies limited by shares, public / private companies limited by guarantee (associations, leisure clubs, churches, etc.), unlimited private companies and external companies.

Companies are required by the Companies Act of 2019 (Law 992) to update their records and file their financial statements with the Registrar General eighteen (18) months after incorporation and each fiscal year the company either active or not.

Delisting companies still in default after the end of September 2021 would be published in national dailies and on the Department’s website. A corporation status at this time would be classified as inactive and would not be accessible for any business transaction during the next 12 years, except by a court order to the ministry for the reinstatement of the corporate register.

Defaulting companies are encouraged to take the necessary steps to be in good standing with the ministry if they are still interested in doing business with this name. During this time, the heads of inactive and defaulting companies are contacted by the ministry to file their declarations with the ministry before the end of September 2021.

The Department urges clients to visit our website www.rgd.gov.gh, click on News, and scroll down to view the list of companies that the Registrar General intends to remove from the Registrar.

Those in charge of businesses that are no longer in business and that do not use the name for commercial purposes or that do not exist should notify the ministry by letter to the Registrar General or call the customer service line at 055-765-3130 and 030-266- 6081 to indicate deregistration or for other inquiries.

Please note that there will be no further extensions after the validation period at the end of September 2021.
